1. ACCEPTANCE OF TERMS

By clicking "Sign Up," accessing, or using the services of dualtic.com (the "Services"), you agree to comply with these Terms and Conditions of Use (the "Terms"), our Privacy Policy, and our Cookie Policy, which are incorporated by reference.

If you do not agree with these Terms, do not register or use the Services.

These Terms constitute a legally binding agreement between you (the "User") and Dualtic, a service operated by Claudio Alonso Olivares Flores, an individual domiciled in Chile (the "Operator," "we," or "Dualtic"). If you are using the Services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

2. SERVICE DESCRIPTION
2.1 Nature of the Platform

Dualtic is a B2B (business-to-business) technology platform that allows companies and professionals to:

  • Publish information about products and services they offer ("Offers")
  • Publish information about products and services they are looking to acquire ("Interests")
  • Connect with other companies with complementary interests
2.2 We Are NOT a Marketplace

IMPORTANT: Dualtic is NOT:

  • An e-commerce marketplace
  • A payment processor
  • An intermediary in commercial transactions
  • A guarantor of quality, delivery, or compliance
  • An agent, representative, or partner of any user
  • A verifier of identity or credibility of companies
2.3 Exclusive Responsibility of Users

ALL negotiations, agreements, contracts, payments, transactions, and business relationships occur OUTSIDE our platform and are the EXCLUSIVE RESPONSIBILITY of the users involved.

Dualtic does NOT:

  • Verify user identity beyond basic registration
  • Validate the legitimacy, quality, or legality of products/services
  • Participate in negotiations between users
  • Process payments or handle money
  • Resolve commercial disputes
  • Guarantee compliance with agreements between users
2.4 User Due Diligence

It is YOUR RESPONSIBILITY to:

  • Verify the identity and credibility of other users before doing business
  • Research products/services before buying or contracting
  • Negotiate your own commercial terms and conditions
  • Execute formal contracts outside the platform
  • Comply with all applicable laws in your jurisdiction
  • Report suspicious or illegal activity to appropriate authorities
3. ELIGIBILITY AND REGISTRATION
3.1 Minimum Age

You must be at least 18 years old to use the Services. Minors cannot create accounts. If we discover that a minor has registered an account, we will delete it immediately.

3.2 Registration Requirements

To use the Services, you agree that:

  1. You are at least 18 years of age
  2. You will only have ONE Dualtic account
  3. Your account will be in your real name (or your company's legal name)
  4. Dualtic has not previously restricted your use of the Services
  5. All information you provide is truthful, accurate, and up-to-date
3.3 Company Account

If you register on behalf of a company:

  • You represent that you have legal authority to act on its behalf
  • The account may be in the company's name
  • You are responsible for all activities under that account
3.4 Limited Verification

Dualtic performs basic verification through:

  • Email validation
  • OAuth with LinkedIn (optional)

We do NOT verify:

  • Legal existence of companies
  • Business licenses
  • Financial capacity
  • Legitimate business intentions
4. TYPES OF USERS
4.1 Registered Users

By completing registration and setting up your profile, you become a "User" with access to:

  • Post offers and interests
  • View contact information of other users
  • Be contacted by other users
  • Use advanced filters and searches
4.2 Visitors

Unregistered users ("Visitors") can:

  • Browse public posts
  • Perform basic searches
  • View the platform in demo mode

Visitors CANNOT:

  • View complete contact information
  • Post content
  • Contact users directly
5. YOUR ACCOUNT
5.1 Account Security

You are responsible for:

  • Maintaining the confidentiality of your password
  • All activities that occur under your account
  • Notifying us immediately if you suspect unauthorized use
5.2 Truthful Information

You must:

  • Use your real name (or your company's legal name)
  • Provide valid contact information
  • Keep your profile updated
  • Not falsify your identity or affiliation
5.3 Account Ownership

Your account belongs to you. You can delete it at any time from Settings.

6. USER CONTENT
6.1 Your Content

"User Content" includes:

  • Posts of offers and interests
  • Product/service descriptions
  • Images, logos, and multimedia files
  • Company profile information
  • Any other material you publish
6.2 Content Ownership

You retain all ownership rights to your Content.

6.3 License to Dualtic

By posting Content, you grant us a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to:

  • Display your Content on the platform
  • Distribute it to other users performing relevant searches
  • Store it on our servers and backups
  • Use it in promotional materials (screenshots, testimonials)
  • Optimize it for different devices

This license does NOT allow us to:

  • Sell your Content to third parties
  • Use it to endorse other products without your consent
  • Modify the meaning of your information

The license terminates when you delete your Content, except for backup copies that will be deleted within a reasonable time (maximum 90 days).

6.4 Responsibility for Your Content

You are the sole responsible party for your Content. You warrant that:

  • You have all necessary rights to post it
  • It does not infringe third-party rights (copyright, trademarks, trade secrets)
  • It is truthful and not misleading
  • It complies with all applicable laws
  • It does not contain malware, viruses, or harmful code
6.5 Third-Party Content (Product Images)

If you post images, logos, or content you did NOT create (e.g., manufacturer photos):

  • You warrant that you have legal right to use it (license, fair use, public domain)
  • You are responsible for any copyright infringement claims
  • Dualtic may remove the content if we receive a valid DMCA claim
7. PROHIBITED CONTENT

You CANNOT post content that:

7.1 Illegal or Fraudulent
  • Illegal products (weapons, drugs, stolen items)
  • Pyramid schemes or fraud
  • Money laundering
  • Tax evasion
  • Violation of international sanctions (OFAC)
7.2 Deceptive
  • False information about products/services
  • Misleading prices or terms
  • Counterfeits or pirated products
  • Identity impersonation
7.3 Inappropriate
  • Sexual or pornographic content
  • Hate speech or discrimination
  • Harassment or threats
  • Graphic violence
7.4 Spam
  • Excessive duplicate posts
  • Content unrelated to B2B
  • Links to malicious sites
  • Unsolicited mass advertising
8. USAGE RULES
8.1 You Must:
  • Provide accurate information and keep it updated
  • Use your real name (or legal name)
  • Behave professionally
  • Respect the rights of other users
  • Comply with all applicable laws
  • Report suspicious or illegal activity
8.2 You Must NOT:
  • False Identity: Create accounts with false identity, falsify your company, or use another person's account
  • Scraping/Automation: Develop, use, or support bots, scripts, crawlers, or any automated tools to extract data from the platform
  • Bypass Security: Attempt to circumvent security measures, access controls, or usage limits
  • Unauthorized Data Use: Copy, distribute, or commercialize information obtained from the Services without consent
  • Disclose Confidential Information: Post information you don't have the right to share (your employer's trade secrets, clients' confidential data)
  • Intellectual Property Infringement: Violate copyright, trademark, patent, or trade secret rights of third parties
  • Brand Misuse: Use "Dualtic," our logo, or trademarks in trade names, domains, or emails without authorization
  • Malware: Post viruses, worms, trojans, or any malicious code
  • Reverse Engineering: Attempt to obtain the platform's source code or perform reverse engineering
  • False Affiliation: Claim you are associated, sponsored, or endorsed by Dualtic without express consent
  • Unauthorized Links: Establish external links to our Services for purposes other than promoting your legitimate profile
  • Imitation: Copy the design, appearance, or functionality of Dualtic
  • System Overload: Interfere with normal operation of Services through DDoS attacks, mass spam, or other actions that overload infrastructure
9. MODERATION AND REPORTS
9.1 Instant Publication

Posts appear immediately without prior review. We do not moderate content before publication due to resource limitations.

9.2 Right to Report

All users have the right to report content or conduct they believe violates these Terms. Reports help maintain a professional and safe environment.

9.3 How to Report

To report an account (you must be signed in):

  • Visit the user's profile
  • Click the report button (flag icon 🚩) next to the profile details
  • Select the reason and complete the form

To report a publication (you must be signed in):

  • Open the publication (Offer or Interest) from the user's profile
  • Click the "Report" button (flag icon 🚩) within the publication detail
  • Select the reason and complete the form

9.4 Report Anonymity

Reports are completely anonymous. The reported user will NOT know who made the report. We do not share the identity of the reporter under any circumstances.

9.5 Valid Reasons for Reporting

You can report accounts for:

  • Identity theft (impersonating another company/person)
  • Fake or fraudulent profile
  • Spam (posts too much or repetitive content)
  • Offensive or inappropriate content
  • Possible scam or fraud

You can report publications for:

  • Spam (duplicate or repetitive)
  • False or misleading information
  • Illegal product or service
  • Offensive or inappropriate content
  • Possible scam or fraud
9.6 Report Review

Dualtic will review all reports received:

  • Initial review within 24-72 hours
  • Deeper investigation if necessary
  • Decision based on these Terms and available evidence
  • We are not obligated to act on every report

We do not provide individual updates on report status for privacy and resource reasons.

9.7 Moderation Actions

If we determine that your content or conduct violates these Terms, we may take the following actions without prior notice:

Warning:

  • First minor infraction
  • Email notification with explanation
  • Opportunity to correct the conduct

Content Removal:

  • Remove specific posts that violate Terms
  • Without affecting the rest of your account

Temporary Suspension:

  • Access restriction for a determined period (7-30 days)
  • Applicable to repeated or serious violations
  • Account automatically reactivated at end of suspension

Permanent Termination:

  • Immediate account deletion
  • Applicable to serious violations or recidivism
  • Prohibition from creating new accounts
  • No refund of paid services (if applicable in the future)

Report to Authorities:

  • In cases of evident illegal activity (fraud, illegal products, threats)
  • Cooperation with legal investigations
  • Information disclosure as required by law
9.8 Moderation Criteria

When making moderation decisions, we consider:

  • Severity of the violation
  • User history (prior infractions)
  • Impact on other users
  • Intent (error vs. malicious conduct)
  • Context of the situation
9.9 Appeals

If you believe a moderation action was erroneous or excessive, you can appeal:

How to Appeal:

  • Send email to: appeals@dualtic.com
  • Include your user ID or registered email
  • Explain why you consider the decision incorrect
  • Provide any relevant evidence

Appeal Process:

  • Review within 5-7 business days
  • Re-evaluation of the case in light of the information and evidence you provide
  • Final decision communicated via email
  • Appeal decision is final

Limitations:

  • You can only appeal ONCE per moderation action
  • Not all cases are appealable (evident illegal activity)
  • Frivolous appeals may result in extended suspension
9.10 Repeat Offenders

Users with multiple violations:

  • 3 warnings: 14-day temporary suspension
  • 2 temporary suspensions: Review for possible permanent termination
  • Serious infractions (fraud, illegality): Immediate termination without warnings
9.11 False Reports

Abuse of the reporting system is prohibited:

  • Maliciously reporting legitimate competitors
  • Mass reports without justification
  • Using the reporting system as a harassment tool

Consequences for false reports:

  • First time: Warning
  • Recurrence: Suspension of reporting privileges
  • Serious abuse: Account suspension or termination
9.12 Moderation Liability Limits

Dualtic does NOT guarantee:

  • Review or action on all reports
  • Specific response times
  • Particular outcome of a report
  • That we will detect all Terms violations

We are not responsible for:

  • User content before its removal
  • Damages caused by users we didn't moderate in time
  • Moderation decisions made in good faith
9.13 Cooperation with Authorities

Dualtic fully cooperates with:

  • Court orders
  • Valid legal subpoenas
  • Police investigations
  • Consumer protection authority requests

We may disclose user information when:

  • Required by law
  • Necessary to prevent imminent harm
  • To protect our legal rights
10. Dualtic'S INTELLECTUAL PROPERTY
10.1 Our Property

Dualtic, the name, logo, visual design, user interface, source code, and all underlying technologies are the exclusive property of Dualtic and are protected by:

  • Copyright laws
  • Trademark laws
  • Trade secret laws
  • International treaties
10.2 Limited License

We grant you a limited, non-exclusive, revocable, and non-transferable license to:

  • Access and use the Services for legitimate business purposes
  • View and download public content for your personal use

This license does NOT allow you to:

  • Copy, modify, or create derivative works
  • Sell, rent, or sublicense access to the Services
  • Perform reverse engineering
  • Remove copyright or trademark notices
11. DMCA AND COPYRIGHT
11.1 Copyright Policy

We respect intellectual property rights. If you believe your copyrighted work has been infringed:

Contact our DMCA Agent:

Include:

  1. Identification of the copyrighted work infringed
  2. Identification of the infringing material (specific URL)
  3. Your contact information
  4. Good faith statement
  5. Statement under penalty of perjury that you are the owner or authorized representative
  6. Your physical or electronic signature
11.2 Counter-Notice

If you believe your content was removed in error:

  • Send counter-notice to dmca@dualtic.com
  • We follow standard DMCA procedures
11.3 Repeat Infringer Policy

Users with multiple copyright infringements will be permanently banned.

12. THIRD-PARTY SERVICES
12.1 External Links

The platform may contain links to third-party websites (LinkedIn profiles, user company sites, etc.). We are not responsible for the content, privacy policies, or practices of external sites.

12.2 Analytics Services

We use third-party services to analyze platform usage:

  • Google Analytics (anonymous traffic data)
  • Microsoft Clarity (anonymized session recordings)

13. LIMITATION OF LIABILITY AND INDEMNIFICATION
13.1 Services "AS IS"

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy or reliability of content
  • Business results
13.2 We Do Not Guarantee

Dualtic does NOT guarantee:

  • The truthfulness, accuracy, or completeness of User Content
  • The identity, credibility, or legal capacity of other users
  • The quality, safety, legality, or availability of offered products/services
  • That users will complete agreed transactions
  • That the service will be free from interruptions, errors, or viruses
  • That defects will be corrected
  • That our servers are secure or free from attacks
13.3 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Dualtic SHALL NOT BE LIABLE FOR:

Direct Damages:

  • Loss of profits, revenue, or sales
  • Loss of business opportunities
  • Damage to business reputation

Indirect Damages:

  • Consequential, incidental, special, or punitive damages
  • Loss of data or system corruption
  • Costs of obtaining substitute services
  • Any damages arising from your use or inability to use the Services

Transactions Between Users:

  • Fraud, scams, or illegal conduct by other users
  • Breach of commercial agreements between users
  • Defective products or poor quality services
  • Payment or delivery disputes
  • Violation of contracts between users
13.4 Basis of the Bargain

YOU ACKNOWLEDGE AND AGREE that:

  • These liability limitations are reasonable and fair
  • They are an essential basis of this agreement
  • Without these limitations, we could not offer the Services for free
  • You have had the opportunity to review these terms before accepting them
13.5 Jurisdictions That Do Not Allow Limitations

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, our limitations apply to the maximum extent permitted by law.

13.6 Indemnification

You agree to indemnify, defend, and hold harmless Dualtic and its Operator, as well as their affiliates, directors, and collaborators, from any claim, demand, loss, liability, damage, or expense (including reasonable attorneys' fees) arising out of or related to:

  • Your User Content (including third-party claims for intellectual property infringement, defamation, or unfair competition)
  • Your use or misuse of the Services
  • Your breach of these Terms or of any applicable law
  • The violation of a third party's rights resulting from your actions on the platform

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you will cooperate with us in such defense.

14. MODIFICATIONS TO TERMS
14.1 Right to Modify

Dualtic reserves the right to modify these Terms at any time. We may do so to:

  • Reflect changes in law
  • Implement new functionalities
  • Improve security
  • Clarify existing provisions
14.2 Notice of Changes

If we introduce material changes (that significantly affect your rights):

  • We will notify you by email (to the registered address)
  • We will post a notice on the platform
  • We will update the "Last updated" date above
  • We will give you at least 30 days to review before they become effective
14.3 Non-Material Changes

Minor changes (typographical corrections, section reorganization) may be made without prior notice.

14.4 Acceptance of Changes

By continuing to use the Services after changes become effective, you accept the modified Terms.

If you do NOT agree with the changes:

  • You must stop using the Services
  • You may delete your account before the effective date
14.5 Not Retroactive

Changes are NOT retroactive. They apply from their effective date forward.

15. SERVICE AVAILABILITY AND CHANGES
15.1 Changes to Features

Dualtic may:

  • Add new features
  • Modify existing features
  • Suspend or discontinue features
  • Introduce usage limits (e.g., number of posts)

We will make reasonable efforts to notify significant changes in advance.

15.2 Service Interruptions

Services may be temporarily unavailable due to:

  • Scheduled maintenance
  • Security updates
  • Unforeseen technical issues
  • Cyber attacks or infrastructure failures
  • Force majeure

We are NOT responsible for damages caused by interruptions.

15.3 Not a Storage Service

Dualtic is NOT a permanent data storage service. We do not guarantee:

  • That we will store your content indefinitely
  • That we will make backups of your data
  • That you can recover deleted content

YOU are responsible for maintaining backup copies of any important content.

15.4 Service Closure

If we decide to permanently close Dualtic:

  • We will notify at least 90 days in advance
  • We will allow you to export your data in a readable format
  • You will NOT be entitled to compensation
16. ACCOUNT TERMINATION
16.1 Termination by User

You can close your account at any time:

  • From: Settings > Delete Account
  • By emailing: support@dualtic.com

Termination is effective immediately unless we specify a grace period.

16.2 Termination by Dualtic

We may suspend or terminate your account immediately, without prior notice or liability, if:

Terms Violations:

  • You post prohibited content
  • You violate usage rules
  • You create multiple accounts
  • You use false identity
  • You perform scraping or unauthorized automation

Illegal Activity:

  • You post illegal products/services
  • You commit fraud
  • You harass other users
  • You attempt to hack the platform

User Reports:

  • You receive multiple valid reports
  • There is evidence of abusive conduct

Legal Requirements:

  • Court order or subpoena
  • Law enforcement request
  • Compliance with international sanctions (OFAC)

Inactivity:

  • You don't use the account for more than 2 years (with 30 days prior notice)
16.3 Effect of Termination

Upon account termination (for any reason):

Loss of Access:

  • You lose immediate access to all Services
  • You cannot log in or recover the account

Data Deletion:

  • Your public profile will be deleted
  • Your posts will be removed
  • Connections and contacts will be deleted
  • Messages (if we implement messaging) will be deleted

Temporary Retention:

  • We may retain data in backups for up to 90 days
  • Data necessary for legal compliance may be retained longer
  • Anonymized data for analytics may be retained indefinitely

No Refund:

  • If in the future we charge for premium services, there will be NO refunds for termination (unless required by law)
16.4 Creating a New Account

If your account was terminated for Terms violations:

  • You CANNOT create a new account without our express consent
  • Attempting to circumvent a ban will result in permanent termination of all associated accounts
16.5 Survival of Provisions

The following sections survive termination:

  • Intellectual Property (granted licenses)
  • Limitation of Liability
  • Indemnification
  • Governing Law and Dispute Resolution
  • Any other provision that by nature should survive
17. PRIVACY AND DATA PROTECTION
17.1 Privacy Policy

The use of your personal data is governed by our Privacy Policy, which is incorporated by reference into these Terms, and by Chilean Law No. 19.628 on Personal Data Protection, as amended by Law No. 21.719.

Your information is processed on the legal bases described in the Privacy Policy (performance of this service contract, consent, legitimate interest, or legal obligation, as the case may be).

17.2 Public vs. Private Information

Public Information (visible to everyone):

  • Username / Company name
  • Company profile information
  • Offer and interest posts
  • Contact data you choose to display (email, phone, LinkedIn)
  • Geographic location (country, region, city)
  • Industry/sector

Private Information (only visible to Dualtic):

  • Password (hashed)
  • LinkedIn ID (if using OAuth)
  • Registration and last login IP address
  • Session tokens
  • Session history
  • Date and time of actions
  • Acceptance of Terms and Policies
17.3 Sharing Contact Information

By creating an account, you agree that your contact information (email, phone, LinkedIn) will be publicly visible to other registered users.

If you do not want this information to be public:

  • Do NOT complete those fields in your profile
  • Delete your account if you have already configured it

We do NOT offer an option to "pause visibility" without deleting the profile.

17.4 Your Data Rights (CCPA)

If you are a California resident, you have additional rights under the California Consumer Privacy Act (CCPA). See our Privacy Policy for details on:

  • Right to know what data we have
  • Right to delete your data
  • Right to opt-out of "sale" of data (though we don't sell data)
  • Right to non-discrimination
18. GOVERNING LAW AND DISPUTE RESOLUTION
18.1 Governing Law

These Terms shall be governed, interpreted, and enforced in accordance with the laws of the Republic of Chile, without reference to its conflict of law principles.

18.2 Jurisdiction

Any dispute related to these Terms or the Services shall be submitted to the jurisdiction of the ordinary courts of justice of Chile, and you agree to submit to their jurisdiction.

If you access from outside Chile, disputes shall be governed by Chilean law, without prejudice to any mandatory protections that the law of your country of residence may afford you.

18.3 International Scope and Availability

Dualtic is operated from Chile. We do not represent that the Services are appropriate or available for use in all jurisdictions. You may access the Services from other countries, but you do so on your own initiative and are responsible for complying with the local laws applicable to you.

18.4 Time Limit for Claims

To the extent permitted by applicable law, any claim or legal action arising from these Terms or the Services must be initiated within ONE (1) YEAR after the cause of action arises. Otherwise, such claim or cause of action is permanently barred.

18.5 Individual Action (No Class Action)

You agree to resolve disputes with Dualtic on an individual basis only.

You CANNOT:

  • Initiate or participate in class actions
  • Consolidate claims with other users
  • Act as a class representative

If this provision is deemed invalid, the remainder of this section 18 remains in effect.

18.6 Informal Resolution First

Before initiating any legal action, you must attempt to resolve the dispute informally:

  1. Send written notice to: legal@dualtic.com
  2. Describe the problem and desired outcome
  3. We will give 30 days to attempt amicable resolution

This requirement does NOT apply to:

  • Urgent intellectual property claims (DMCA)
  • Requests for injunctive relief
  • Matters requiring immediate action
19. GENERAL PROVISIONS
19.1 Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Dualtic regarding use of the Services.

They supersede any prior agreements, representations, or understandings (oral or written).

19.2 Severability

If any provision of these Terms is deemed invalid or unenforceable by a court of competent jurisdiction:

  • That provision shall be reformed to the minimum extent necessary to make it valid
  • The remaining provisions shall remain in full force and effect
19.3 Waiver

Dualtic's failure to enforce any provision of these Terms does NOT constitute a waiver of that right or provision.

Any waiver must be in writing and signed by an authorized representative of Dualtic.

19.4 Assignment

You CANNOT assign, transfer, or sublicense these Terms or your rights under them without our prior written consent.

Dualtic MAY assign these Terms, in whole or in part, to any affiliate, successor, or acquirer without your consent.

19.5 No Agency Relationship

These Terms do NOT create any:

  • Agency, partnership, or joint venture relationship
  • Employer-employee relationship
  • Fiduciary relationship

You are an independent user of the platform.

19.6 Third-Party Beneficiaries

These Terms are for the exclusive benefit of the parties (you and Dualtic).

They do NOT confer rights to third parties, except that our affiliates, directors, and employees are third-party beneficiaries of the Limitation of Liability and Indemnification sections.

19.7 Headings

Section headings are for convenience only and do NOT affect the interpretation of these Terms.

19.8 Language of Agreement

These Terms are provided in Spanish and English. In case of conflict between versions:

  • The Spanish version prevails for legal purposes
  • The English version is a translation for convenience
19.9 Force Majeure

Dualtic shall NOT be liable for delays or failures in performance due to causes beyond our reasonable control, including:

  • Natural disasters (earthquakes, floods, fires)
  • Wars, terrorism, civil unrest
  • Massive cyber attacks
  • Internet or hosting provider failures
  • Changes in laws or regulations
  • Pandemics or public health emergencies
